License Agreement
Effective June 23, 2026
This License Agreement ("Agreement") governs the rights granted to you in the Dark-inSights business intelligence suite, including all modules, calculators, dashboards, templates, and supporting tools (the "Licensed Materials"). It applies whether the Licensed Materials are standard or were configured or co-developed with you for your business.
1. Licensed, Not Sold
The Licensed Materials are licensed, not sold. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Licensed Materials for the internal operation of your own business during your active subscription. No ownership transfers to you.
2. Ownership & Intellectual Property
All Licensed Materials — including their design, logic, structure, formulas, code, and brand — are and remain the exclusive intellectual property of Dark-inSights. This includes modules, calculators, and tools developed in collaboration with individual clients. Your business data is yours; the system that operates on it is ours.
3. What You May Do
- Access and use the Licensed Materials to run your own business.
- Enter your business data and rely on the outputs for your internal decisions.
- Allow your authorized employees to use the Licensed Materials within the limits of your plan.
4. What You May Not Do
- Copy, clone, reproduce, or recreate the Licensed Materials, in whole or in part.
- Sell, rent, sublicense, share, or otherwise make the Licensed Materials available to any third party or other business.
- Reverse-engineer, decompile, or attempt to derive the source, formulas, or underlying logic, except to the extent the law expressly permits.
- Remove or obscure any Dark-inSights branding, notices, or attribution.
- Use the Licensed Materials to build or assist a competing product.
5. Updates & Remote Maintenance
Dark-inSights retains control of the Licensed Materials and may update, improve, fix, or modify them over the air as part of your subscription. We may access the Licensed Materials remotely to provide support and maintenance. Updates are provided to keep the Service working and improving; we are not obligated to maintain any specific feature indefinitely.
6. Configured & Co-Developed Work
If we configure, customize, or co-develop modules with you, those remain Licensed Materials owned by Dark-inSights and covered by this Agreement. You receive a license to use them on the same terms; you do not receive ownership or the right to take them elsewhere.
7. Your Data vs. Our Tools; Marketing Use
Two different things live in the Service, and they are owned differently.
Your data and your own products stay yours. Everything you put into the Service — your business records, the information the tools process, your customers' details, and your own proprietary products, brands, and materials — remains entirely yours. We do not take it, keep it beyond running the Service, sell it, or claim any ownership of it, and we will never use your private data, your customers' information, or your own products in our marketing. (If you sell a branded product of your own, for example, that product is yours — never ours.)
The tools we build are ours. The tools, dashboards, websites, frameworks, and any module or product we build, configure, or tailor for you — even when it carries your name or logo — are the property of Dark-inSights and are licensed to you, not sold (see Sections 1, 2, and 6).
Because those creations are ours, we may use them — and any videos, screenshots, or demonstrations we make of them — to advertise and market what Dark-inSights can build. For example, we may show a tool we tailored for one business as an example of how we can tailor one for another, in a different industry. What we will not do is sell or hand your specific tool to another customer as their own — using it as a marketing example is not the same as selling it.
8. Term & Termination
This license lasts as long as your subscription is active and in good standing. It ends automatically if your subscription ends or if you breach this Agreement, and we may end it immediately at our discretion, including for the reasons described in our Terms of Service.
When the relationship ends, you will not lose access to your own data. For 30 days you may retrieve and export it — for example, for your financial records and taxes — through a single administrative login. During this retrieval period the Service is placed in a frozen, read-only state: the tools and modules are no longer operational. After the retrieval period closes, your access ends and the Licensed Materials do not transfer to you.
9. No Warranty; Limitation of Liability
The Licensed Materials are provided "as is." Dark-inSights disclaims all warranties to the fullest extent permitted by law, and our liability is limited as set out in our Terms of Service.
10. Governing Law
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules.
